Welcome to SAGITTARIUS LLC DBA BE MY LIFE COACH (hereinafter referred to as BE MY LIFE COACH)! We are thrilled to have you on board. Our platform connects users with internet services that serve as gateways to various functionalities (such as websites, applications, content, or messaging systems) that facilitate connection and interaction between the Customer and Life Coach. By using our “Services”, which include, but are not limited to, our mobile applications, websites, and other content, you (“Life Coach” and “Customer” which shall collectively be known hereafter as “User(s)” or “you”) are entering into this legal agreement with BE MY LIFE COACH (and its subsidiaries and affiliates) that outlines the terms and conditions governing your use of our platform (referred to herein as “Terms”). “Customer” shall include any and all persons accessing our platform, paid or unpaid, other than a Life Coach. It is essential to understand that these terms are designed to make BE MY LIFE COACH a safe and enjoyable experience for all Users of BE MY LIFE COACH services. When you access or use our Services, you agree to comply with these Terms and Conditions along with our Privacy Policy, which include respecting intellectual property rights, maintaining the confidentiality of your account information and adhering to community standards. Any violation of these terms may result in a suspension or termination of our services to you. We encourage you to read our full terms and conditions carefully. By continuing to use our services, you acknowledged that you have understood and accepted these Terms along with our Privacy Policy. Your commitment to these guidelines helps us create a positive environment for everyone.

Please carefully read these Terms before accessing or using our Services. If you do not understand or agree with any part of these Terms or violate any part of this agreement, you may not access or use our Services. BE MY LIFE COACH reserves the right to determine whether a User’s conduct violates these Terms, and to act as we deem appropriate, which may include suspending or terminating access to our Services at any time and for any reason without prior notice or liability. Sections of these Terms that should naturally survive suspension or termination will do so, including disclaimers of warranties, ownership provisions, indemnity, and limitations of liability.

Additional Terms and Conditions (“Additional Terms”) may apply to specific Services, including but not limited to policies for promotions. You agree and understand that these Additional Terms are hereby incorporated by reference into these Terms. These Additional Terms are considered part of these Terms for the applicable Services and take precedence over these Terms in case of conflict. BE MY LIFE COACH may amend these Terms at any time at its sole discretion. Amendments are effective upon posting on our Services or notifying you through other appropriate means. Your continued use of our Services after such amendments constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, please discontinue using our Services. We will update the “Effective Date” of these Terms for significant changes. It is your responsibility to check the Terms and Conditions periodically for changes. Your continued use of or access to the Website for more than 30 days following the posting of any changes constitutes your acceptance of those changes.

BE MY LIFE COACH is for LIFE COACH PURPOSES ONLY. BE MY LIFE COACH operates as a media and messaging platform offering only life coach services. This includes both free and paid interactions with certified Life Coaches delivered through app messages, social media, graphics, and images, audio, video, or other forms of communication. The platform enables interaction with certified Life Coaches (collectively referred to as “Life Coaches”) who provide personalized guidance and advice.

Emergency Notice: If you are in danger, contemplating suicide, feel you may harm yourself or others, or have any medical emergency, please contact local emergency services immediately. Personal information collected by BE MY LIFE COACH, including from third parties, is used to operate our Services. Our Privacy Policy (located at www.bemylifecoach.com) details how we handle your personal data and safeguard your privacy. You are responsible for ensuring that any Information you provide to BE MY LIFE COACH is accurate, correct, and up to date. We encourage you to review our Privacy Policy to make informed decisions.

Failure to enforce any provision of these Terms does not waive our right to do so in the future. You may not assign your rights or obligations under these Terms without BE MY LIFE COACH’s prior written consent. BE MY LIFE COACH may assign its Rights under these Terms without any conditions. These Terms constitute the entire agreement between you and BE MY LIFE COACH.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles. Any dispute arising from or relating to these Terms shall be exclusively resolved in the State and Federal courts in Broward County, Florida, USA.

IT IS IMPORTANT THAT YOU CAREFULLY REVIEW THE ARBITRATION AGREEMENT CONTAINED HEREIN AS IT REQUIRES YOU TO RESOLVE DISPUTES WITH BE MY LIFE COACH THROUGH FINAL AND BINDING ARBITRATION, AND NOT BY A JURY TRIAL. BY ENTERING INTO THIS AGREEMENT, YOU EXPRESSLY STATE AND ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS OF THIS AGREEMENT AND IN MAKING THIS DECISION HAVE TAKEN TIME TO CONSIDER ITS CONSEQUENCES.

RESOLVING DISPUTES WITH BE MY LIFE COACH, ARBITRATION, CLASS ACTION AND JURY TRIAL WAIVER.

BY YOUR AGREEMENT WITH THESE TERMS, YOU UNDERSTAND THAT YOU ARE REQUIRED TO RESOLVE ANY CLAIMS AGAINST SAGITTARIUS LLC DBA BE MY LIFE COACH ON AN INDIVIDUAL BASIS IN ARBITRATION AS DISCUSSED HEREIN. THIS AGREEMENT PREVENTS YOU FROM BRINGING OR JOINING ANY CURRENT OR FUTURE CLASS ACTION, JOINT OR COLLECTIVE, REPRESENTATIVE OR CONSOLIDATED ACTION AGAINST SAGITTARIUS LLC DBA BE MY LIFE COACH.

IT IS ANTICIPATED THAT MOST DISPUTES THAT ARISE OUT OF THE USE OF THE BE MY LIFE COACH WEBSITE OR SERVICES CAN BE RESOLVED QUICKLY, INFORMALLY AND WITH MUTUAL SATISFACTION BY REACHING OUT TO US AT info@bemylifecoach.com. However, if any dispute remains unresolved after attempted resolution through Customer Service at info@bemylifecoach.com, you and BE MY LIFE COACH agree to have all disputes resolved by arbitration which shall be final and binding on both parties. Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate shall be settled by binding arbitration in accordance with the Comprehensive Arbitration Rules and Procedures of JAMS. The arbitration shall be conducted by a single arbitrator, selected in accordance with the rules of JAMS, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in Broward County, Florida. Notwithstanding the foregoing, either party has the right to seek any interim or preliminary relief from a court of competent jurisdiction in Broward County, Florida to protect the rights of such party pending the completion of any arbitration hereunder, and both parties agree to submit to the exclusive jurisdiction of the courts of the State of Florida and venue in Broward County, Florida, for any such proceeding. If either party files an action contrary to this provision, the other party may recover attorneys’ fees and costs up to one thousand US dollars (US $1,000).

LICENSE AND ACCESS TO USE BE MY LIFE COACH SERVICES AND INTELLECTUAL PROPERTY RIGHTS

Subject to your compliance with these Terms and payment of applicable fees, BE MY LIFE COACH and its content providers grant you a limited, non-exclusive, non-transferable, non-sub licensable revocable license to access and use BE MY LIFE COACH Services for personal, non-commercial purposes to download, install and use a copy of the Application on a single mobile device or computer that you own or control and to run such copy of the Application. This license excludes any resale, commercial use, or distribution of BE MY LIFE COACH or its contents. You may not download, copy, or use account information for third-party benefit, nor engage in data mining or similar activities without express written consent from BE MY LIFE COACH. All rights not expressly granted herein remain with BE MY LIFE COACH, its licensors, suppliers, publishers, and rights holders. BE MY LIFE COACH or any part thereof may not be reproduced, modified, duplicated, sold, leased, licensed, distributed, publicly displayed, or exploited for commercial purposes (collectively referred to as “Protected Material”) without BE MY LIFE COACH ‘s consent. Limited text-based copying for personal, non-commercial use may be allowed. You agree not to remove any copyright, trademark, or other proprietary notices from BE MY LIFE COACH services. Framing, Meta tags, or any unauthorized use of BE MY LIFE COACH’s trademarks or proprietary information requires BE MY LIFE COACH’s express written consent. Decompiling, reverse engineering, or disassembling BE MY LIFE COACH services is prohibited, except where permitted by law. Misuse of BE MY LIFE COACH or violation of these terms terminates the licenses granted by BE MY LIFE COACH.

We reserve the right to withdraw or amend our Website and any functionality or Service that we provide in our sole discretions, without notice. BE MY LIFE COACH encourages you to periodically review these Terms to see if there have been any changes that may affect you. We will not be liable if for any reason, all or any part of our Website is unavailable at any time or for any period.

USE OF THIRD-PARTY SERVICES AND CONTENT

BE MY LIFE COACH services may incorporate third-party platforms and content (including advertisements) beyond BE MY LIFE COACH’s control. You acknowledge that different terms of use and privacy policies may govern these services. BE MY LIFE COACH does not endorse such third-party services and content and is not liable for products or services offered by third-party providers. Your use of BE MY LIFE COACH services through third-party services is subject to their terms, which supersede these terms in case of conflict regarding BE MY LIFE COACH services. Access or data fees incurred through third-party services are your responsibility. You must obtain and maintain compatible hardware and devices for using BE MY LIFE COACH services, as BE MY LIFE COACH does not guarantee functionality on all hardware or devices.
Internet and electronic communication-related malfunctions and delays may affect BE MY LIFE COACH services.

YOUR USE OF BE MY LIFE COACH SERVICES

To use BE MY LIFE COACH’s life coach services, you must be 18 years old or older. You must not use BE MY LIFE COACH services in any way that violates these Terms or any applicable federal, state, local or international law or regulation. You are responsible for maintaining account confidentiality and restricting access. Account registration may require personal information such as name, birth date, address, and payment method. You agree to provide complete and accurate billing and account information for purchase of services, including your email address and payment information, so that we can complete your transactions and contact you as needed. BE MY LIFE COACH explicitly disclaims liability for all losses and damages arising from your failure to comply with these Terms. Failure to maintain accurate information may result in access restrictions or termination by BE MY LIFE COACH.

You acknowledge and agree that BE MY LIFE COACH listed Life Coaches are independent contractors and not employees, agents, subsidiaries, affiliates or representatives of BE MY LIFE COACH. BE MY LIFE COACH assumes no responsibility for the actions or omissions of any of its listed Life Coaches. Life Coaches are independent contractors of BE MY LIFE COACH and as such, BE MY LIFE COACH does not control the quality, relevance, or accuracy of their advice. BE MY LIFE COACH does not determine the qualifications of BE MY LIFE COACH listed Life Coaches to provide any specific advice, nor does it endorse, recommend, evaluate, warrant, or guarantee the accuracy, relevance, or appropriateness of any information provided by any of the Life Coaches. Information provided by any of the Life Coaches is not a substitute for professional advice.

Disclaimer: The BE MY LIFE COACH Services, and any opinion, response, advice, suggestion, prediction, information, and/or other service provided by any Life Coach is provided for life coach purposes only. You should not base health, legal, financial, or other decisions solely on BE MY LIFE COACH or the advice of any of the Life Coaches. BE MY LIFE COACH strongly advises seeking the advice of qualified professionals for medical or mental health concerns.

PERSONAL INFORMATION AND SECURITY

Disclosure of personal contact information (phone numbers, addresses, email addresses) to other Customers or Life Coaches is prohibited. BE MY LIFE COACH may disclose certain personal information to facilitate services but does not provide Life Coaches with personal contact information. Life Coaches are prohibited from requesting sensitive information. You are accountable for all activities under your account and must safeguard credentials. Each individual may possess only one account unless otherwise permitted by BE MY LIFE COACH. Account transfer or authorization for third-party use is forbidden. BE MY LIFE COACH reserves the right to take any and all action, as it deems necessary and reasonable to maintain the security of BE MY LIFE COACH Services and your account, including but not limited to, terminating your account, changing your password or requesting information to authorize transactions on your account.

COMPLIANCE AND RESTRICTIONS

You agree to use BE MY LIFE COACH services in compliance with applicable laws and solely for lawful purposes in your jurisdiction. BE MY LIFE COACH makes no claims or representations regarding the legality of BE MY LIFE COACH services in your jurisdiction. BE MY LIFE COACH does not permit use of BE MY LIFE COACH Services by residents of any country that prohibit our services or any country that is prohibited by law or treaty from entering into trade relations with the United States or its citizens. You represent and warrant that you are not located in such a country subject to such a prohibition including but not limited to subject to a United States Government embargo or listed on any United States Government list of restricted parties. You agree that you will not use or attempt to use or impact BE MY LIFE COACH Services that could damage, disable, overburden or interfere with the proper working of BE MY LIFE COACH SERVICES nor use any automated or manual process device or technique to copy or monitor any Protected Material nor use BE MY LIFE COACH Services to transmit or otherwise facilitate any false, inaccurate, misleading, libelous, defamatory, obscene or threatening, illegal, or otherwise objectionable communications or use BE MY LIFE COACH Services to impersonate any person or to violate, infringe or misappropriate any party ‘s content or communications, or engage in any actions, that subject or potentially subject BE MY LIFE COACH or any other person to any harm. Use causing nuisance, annoyance, inconvenience, or damage to BE MY LIFE COACH Services is prohibited. Proof of identity may be required for certain services, and refusal may result in denial of services.

TERMINATION

Your right to use the service will cease immediately upon termination. If you wish to terminate your account, you may do so by discontinuing your use of the service.

COMMUNICATIONS

By creating an Account, you consent to receiving informational and promotional communications from BE MY LIFE COACH services through SMS, push notifications, emails, and other communication technologies as part of normal business operations. You can opt out of receiving these communications at any time by disabling them or deactivating your Account. Opting out may affect your use of BE MY LIFE COACH services.

PROMOTIONAL CONTENT, BONUSES, CODES

BE MY LIFE COACH may, at its discretion, provide promotional content, bonuses, or codes (“Promo Content”) redeemable for Account credits or other benefits related to BE MY LIFE COACH services and/or third-party services, subject to additional terms set by BE MY LIFE COACH. You agree that Promo Content: (i) must be used lawfully and as intended; (ii) may not be duplicated, sold, or transferred unless expressly permitted by BE MY LIFE COACH; (iii) may be disabled by BE MY LIFE COACH without liability; (iv) must be used according to specified terms; (v) holds no cash value; and (vi) may expire before use. BE MY LIFE COACH reserves the right to withhold or deduct credits or benefits obtained through Promo Content if misuse, fraud, or violation of terms is suspected.

ORDERS, PURCHASES, PAYMENTS, AND FEES

BE MY LIFE COACH offers various payment methods for purchasing BE MY LIFE COACH services (“Charges”). You must comply with applicable terms and conditions for each payment method. BE MY LIFE COACH may add or remove payment methods at its discretion without notice. You agree to pay for BE MY LIFE COACH services ordered. You are responsible for all associated fees and must pay Charges immediately using your designated payment method. Expired or invalid payment methods may result in BE MY LIFE COACH using a secondary method from your Account. Any credits purchased must be used within 30 days of purchase or they will expire.

Customers shall preload credits prior to any BE MY LIFE COACH services by making an advance payment via credit card in specified increments. These credits may be used for BE MY LIFE COACH services and will carryover to subsequent sessions if unused. ALL CREDIT PURCHASES ARE FINAL, AND NO REFUNDS WILL BE PROVIDED FOR UNUSED CREDITS. Customers may purchase additional credits at their discretion during an active BE MY LIFE COACH session or within the platform.

PRICING AND SERVICE TRANSACTIONS

BE MY LIFE COACH displays pricing for its services and charges for paid life coaching based on set time blocks. Pricing and availability are subject to change until a purchase is completed.

ALL BE MY LIFE COACH SERVICE TRANSACTIONS AND CHARGES FOR SERVICES ARE FINAL

Except as expressly set forth in the Terms and Conditions or other BE MY LIFE COACH policies, all charges for services are final. No returns or refunds are permitted unless technical issues prevent delivery of services or defective services are provided. Temporary unavailability of digital services does not warrant refunds. BE MY LIFE COACH reserves the right to issue refunds or credits at its discretion, with no obligation to issue future refunds.

Fees for messaging services will be based on word count bundles. Such fees will be shown on the profile of each Life Coach on the BE MY LIFE COACH platform along with any special rates that may apply to qualifying Customers. Customers will be charged based on the number of words THE CUSTOMER SENDS within the platform rather than a flat rate per message. Each message will be counted toward a selected word bundle, and charges will apply accordingly. Prices are subject to change at BE MY LIFE COACH’s discretion.

PROTECTED MATERIALS

You acknowledge and agree that certain information and content shared in connection with services provided by BE MY LIFE COACH are classified as Protected Materials. Protected Materials include, but are not limited to, personal data, intellectual property, trade secrets, and any other information safeguarded by applicable laws, regulations, or policies designed to prevent unauthorized access, use, or distribution.

You are expressly prohibited from using, disclosing, or distributing Protected Materials without prior written consent from BE MY LIFE COACH or as otherwise authorized by law. Unauthorized access, misuse, or disclosure of Protected Materials may result in legal action and termination of service.

REFUND POLICY

BE MY LIFE COACH strives to have a fair, transparent and reassuring policy for our users. For dissatisfaction with BE MY LIFE COACH services, email help@bemylifecoach.com to request a review. Refunds may be issued, credited, or refused at BE MY LIFE COACH’s discretion. Requests must be made within two (2) days of the session. Session details including date, fee, life coach name and the specific reason for the request must be included. For strictly billing/charging disputes that appear on your statement, you must notify us in writing within seven (7) days after receiving your credit card statement or such dispute with be deemed waived. Billing dispute should be notified to the following address: info@bemylifecoach.com.

DISCLAIMERS, LIABILITY, GOVERNING LAW

BE MY LIFE COACH services are provided “as is” and “as available” for life coaching purposes only. BE MY LIFE COACH disclaims all guarantees, warranties, express or implied, not expressly stated in these Terms and assumes no responsibility for availability or lack thereof or failure to store any user communications or personalization settlings. BE MY LIFE COACH does not guarantee that users will achieve specific results. BE MY LIFE COACH does not warrant the reliability, timeliness, quality, suitability, availability, or uninterrupted use of BE MY LIFE COACH Services or any services requested through them. BE MY LIFE COACH does not guarantee the quality, safety, or abilities of third-party providers. You agree that any risk arising from your use of BE MY LIFE COACH services, and any services obtained through them, remains solely with you to the maximum extent permitted by law. Use of BE MY LIFE COACH Services is at your sole risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of content and/or data from BE MY LIFE COACH Services. BE MY LIFE COACH may suspend or cancel services indefinitely, limit or disable access without notice.

MEDICAL DISCLAIMER

While life coaching can be a valuable tool for personal development, motivation, and goal setting it does not address mental health disorders or medical conditions. BE MY LIFE COACH Services DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS OR TREATMENT OF ANY KIND AND SHOULD NOT BE CONSIDERED MEDICAL ADVICE and do not provide a substitute for medical advice, diagnosis, or treatment. BE MY LIFE COACH Services and content should not be considered medical advice or endorsement, nor should it substitute for professional advice. Always seek the advice of and consult with qualified health professionals for medical or mental health concerns. BE MY LIFE COACH and third-party providers disclaim any liability or loss related or connected to the content you submit, and any acts or omissions undertaken by you in connection with BE MY LIFE COACH Services. BE MY LIFE COACH Services are not intended for emergencies, medical, psychological, therapeutic, or any use other than life coaching. You assume all risks and liabilities for content submitted and actions you take based on your interaction with Customers or Life Coaches. Any opinions, statements, services or other information given by a third party including the listed Life Coaches are those of the respective third party, not BE MY LIFE COACH.

LIMITATIONS OF LIABILITY

To the extent permitted by applicable law, BE MY LIFE COACH, employees, managers, and its affiliates shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage of any kind arising from or in connection with the use of BE MY LIFE COACH services, even if BE MY LIFE COACH has been advised of the possibility of such damages. BE MY LIFE COACH shall not be liable for damages arising from: (i) your use of or reliance on BE MY LIFE COACH services, or inability to access or use them; or (ii) any transaction or relationship between you and any third-party provider, regardless of the theory of liability (contract or otherwise), even if BE MY LIFE COACH has been advised of the possibility of such damages. In no event shall BE MY LIFE COACH’s total liability to you for all damages including negligence exceed the greater of (A) the amount of fees you paid to BE MY LIFE COACH after payments to listed Life Coaches and other third parties in the twelve (12) months prior to the action giving rise to liability, or (B) two hundred USD ($200). These limitations apply even if the stated remedy fails of its essential purpose. For jurisdictions that do not allow the exclusion or limitation of liability in contracts, BE MY LIFE COACH’s liability is limited to the maximum extent permitted by law.

NOTICE OF COPYRIGHT INFRINGEMENT

BE MY LIFE COACH will investigate notices of copyright infringement and take appropriate actions. If you believe that your work has been used or copied in a way that constitutes copyright infringement and that such infringement is occurring on or in connection with BE MY LIFE COACH Services or on Third Party Sites, please provide written notification of claimed copyright infringement via email to copyright@bemylifecoach.com. The written notification of claimed copyright infringement must contain the following pursuant to applicable law: (a) A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest that is alleged to have been infringed; (b) A description of the copyrighted work(s) that you claim have been infringed and identification of what content in such work(s) is claimed to be infringing and which you request to be removed or access to which is to be disabled; (c) A description of where the content that you claim is infringing is located on or in connection with BE MY LIFE COACH Services; (d) Information sufficient to permit BE MY LIFE COACH to contact you, such as your physical address, telephone number and e-mail address; (e) A statement by you that you have a good faith belief that the use of the content identified in your notice in the manner complained of is not authorized by the copyright owner, its agent or the law; and (f) A statement by you that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf. Our Designated Agent for notice of claims of copyright infringement can be reached as follows via email: copyright@bemylifecoach.com. The Designated Agent should be contacted only if you believe that your work has been used or copied in a way that constitutes copyright infringement and such infringement is occurring on or in connection with BE MY LIFE COACH Services or on Third Party Sites. All other inquiries directed to the Designated Agent may not be responded to. If any User of BE MY LIFE COACH Services is deemed to be a repeat copyright infringer, the BE MY LIFE COACH will terminate such User’s license to use BE MY LIFE COACH Services.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless BE MY LIFE COACH, its parent, subsidiaries, officers, life coaches, employees, affiliates, agents, and third-party providers against any direct, incidental, punitive, indirect, special, or consequential damages and/or costs (including, but not limited to reasonable attorneys’ fees) arising from your use of BE MY LIFE COACH Services, or any other claim related to your use of BE MY LIFE COACH services and/or content, including but not limited to your violation of these Terms or your violation of any third party’s rights including without limitation, infringement by you or any other User of your account of any intellectual property or any other right of any person or entity, errors or omissions in any content, or loss or damage incurred due to the use of any content posted, submitted, transmitted, or made available via BE MY LIFE COACH services, even if BE MY LIFE COACH was advised of their possibility. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such cases, BE MY LIFE COACH’s liability shall be limited to the extent permitted by law.

You acknowledge that your posting or submission of information through BE MY LIFE COACH services is at your own risk, and you release BE MY LIFE COACH from any liability for loss or liability related to such information in any way. These Terms will inure to the benefit of BE MY LIFE COACH’s successors, assigns, and licensees.

NO WAIVER

Our failure to enforce any right or provision in these Terms does not constitute a waiver or relinquishment of such right or provision unless acknowledged and agreed to by BE MY LIFE COACH in writing.
